B. Description of Basic Services The Collective Space stands as a dynamic co-working hub, fostering innovation, collaboration, and growth for health and wellness professionals. co-working space located at 258 Windsor Avenue, Windsor, Connecticut. TCS provides access to a wide range of services, workspaces & amenities in a clean and comfortable office environment. It is open 24 hours a day to members, Monday to Friday. Weekend access by special arrangement only. The Basic Service Level includes the following, subject to certain restrictions. Any additional services are subject to fees and reservations: • Access to shared Internet service • Access to a Floating desk • Use of printers and copiers • Access to private phone booth First come First serve-one hour limit • Use of Private Office 
(subject to availability and prior reservation) • Opportunity to Participate in Member Only events • Access to Additional Services purchased via your Member Portal C. General Responsibilities T CS’s Responsibilities Member Client’s Responsibilities • Provide services in reliable, diligent, and professional manner; maintain clean and comfortable space; • Respond promptly to client requests and any service complaints; and • Maintain General Liability Insurance Coverage for personal injury and property damage caused by TCS negligence. • Promptly communicate to members any changes in services, prices, rules, restrictions or policies. • Abide by all Restrictions, Rules, and Policies outlined in this Agreement, which are subject to change upon notice; • Provide TCS with change of contact or billing information; • Promptly communicate any dissatisfaction with TCS's service verbally and by confirmatory text or email. Allow TCS reasonable opportunity to address complaints; and • Pay invoices in a timely manner, including charges for overages and extra services. D. Payment Terms • Membership fees are presented • TCS will email the billing invoice to the Member after each renewal date. • If not automatically debited, a 5-day grace period before cancellation is effective. • Customer responsible for any bank charges if check returned uncollected for any reason. If the Customer's check is returned, TCS may insist on electronic payments only. • Connecticut state sales tax (6.35%) shall be added to invoice if required, unless Client furnishes proof of sales tax exemption satisfactory to TCS counsel. • No refunds of membership fees. Client agrees to pay for TCS collection costs and reasonable attorney's fees if referred for collection or if client has not abided by the terms and restrictions. Client acknowledges this Agreement is a Commercial Transaction. E. Rules, Restrictions and Policies • Restrictions:Prohibited Conduct and Activities • No pyramid schemes, chain letters or other deceptive marketing; • no indecent, unlawful or inappropriate material on or through TCS servers; 
no spam and junk emails; • no defamatory or offensive language towards TCS staff, any Member or Guest, or any other Person; • no material or information which may infringe or violate any copyright, trademark, patent, trade secret or other proprietary rights of any party; • no creation of false identity for the purpose of misleading others. TCS management reserves right to monitor Internet activity to enforce its policies. TCS management reserves right to make necessary judgments and determinations to enforce its policy prohibiting the above conduct and activities. TCS may refuse or terminate right of access to any person. Proof of age required upon request. • All persons using TCS services must be paid Member in good standing or nonmember guest meeting with a paid Member. Please refer to member policy for gues limit • Members are accountable for the conduct of their Guests. • Keyless access to the premises to be used by Members only and their Authorized Persons on file • Access codes may not be shared or transferred • Café area shall be kept neat and clean. Members shall bus own tables. • Use of The Collective Space phone number and other business information for your business promotional purposes is prohibited without express written permission of TCS • TCS is designed for working; no napping, sleeping or substitute housing. • Promptly remove All trash and refuse • No smoking tobacco or cannabis, no use of alcohol, and no illegal substances on the Premises. including parking areas. • No touching the HVAC system and other building mechanical controls; • No excessive or offensive noise or odor; noise or odor is excessive if it unreasonably disturbs others. • No pets allowed in the facility except properly documented service animals • No storage of personal items… Any items left shall be disposed of at the discretion of management; • No damage or removal to furniture and furnishings. Please use furniture gently • No rearrangement of furniture and furnishings without express permission of TCS management • No firearms allowed on TCS premises including parking areas; • Parking areas may be used only for parking vehicles no longer than a full-size passenger automobile. No trucks or trailers may be parked or stored • Parking stickers/devices provided to Members must be returned at the end of the membership or reasonable fee will be charged. TCS management reserves right to make judgments to enforce its Rules I have read and agreed to all of these Rules and Code of Conduct _____________(Member’s initials) • TCS Policies Regarding Equipment, Privacy, Use of Data • Member grants TCS permission to use your name, trademark and/or logo, for the purpose of identifying you as a member of TCS, on a public-facing membership display on the TCS website. • Members are encouraged to carry their own insurance coverage for their equipment and other personal property while using the premises. TCS insurance coverage does not cover Member’s personal property • TCS is not responsible for any Member’s loss of data, information, or business. Members are responsible for protecting their own IT devices from viruses/malware. • TCS may collect personal data provided by Member for accounting and administrative purposes. • TCS monitors security cameras on the premises. I have read and agreed to all of these Policies _____________(Member’s initials) F. Notices and Membership Termination • Communication to Members by TCS will be by email. Member agrees to monitor email account and respond promptly as needed to communications. Member shall promptly update any email or other contact information. • TCS may terminate this Agreement on notice for nonpayment, timely payment being of the essence. • TCS may terminate this Agreement for failure by Member to abide by Member’s responsibilities, including TCS’s rules, restrictions and policies. Flagrant, severe or repeated violations, as determined in the judgment of TCS, may result in immediate termination upon notice. • Member may terminate this Agreement for cause if TCS has not rectified service complaint to Member’s reasonable satisfaction, after given reasonable opportunity to cure. • The parties may terminate this Contract at any time by mutual written agreement.
